Uphold November Sweepstakes - Terms & Conditions

Who Can Enter

The Uphold November Sweepstakes (the “Sweepstakes”) is open to all natural persons who:

• Register their participation on the Uphold platform.
• reside in an Uphold supported jurisdiction (excluding New York, Virgin Islands, Florida, United Kingdom and EU);
• are 18 or older on November 1, 2024 at 11:00 AM Eastern Daylight Time (EDT); and, 
  are active users of the Uphold platform and have successfully verified their identity (IDV) and completed certain Uphold “know your customer” procedures;
• are a customer of Uphold in good standing at the time the Prize is distributed.
• Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Sweepstakes.

Sweepstakes Period

The Sweepstakes starts on November 1, 2024, at 11:00 AM EDT, concluding on November 30, 2024 at 19:59 PM EDT (the “Sweepstakes Period”). To qualify for an entry, all transactions must be successfully executed on the Uphold platform by 19:59 PM EDT on the final day of the Sweepstakes Period. Any pending transactions will not be considered for entry.

How to Enter

NO PURCHASE NECESSARY

There is no purchase, transaction, or payment necessary to enter the Sweepstakes. To be eligible, you need to register your participation. You can do this by clicking on the banner within the app that will be visible to all eligible participants and selecting ‘Opt-in.’ All users that opt-in will automatically receive one (1) free entry.

Once you have registered, for all eligible transactions you perform on the Uphold platform during the Sweepstakes Period, you will automatically receive one (1) entry in the draw for any trade successfully executed regardless of value involved. Eligible transactions include any successfully completed purchase, swap, or sale of a supported crypto asset on the Uphold platform. All other transactions are excluded. Entries are granted in whole amounts only. There is no limit to the number of entries you may enter in the Sweepstakes.

Random Draw

Eleven (11) entries will be selected at the end of the Sweepstakes Period in a random draw from among all eligible entries received during the Sweepstakes Period. The winners will then receive an email informing them that they have won the Sweepstakes and will have the prize paid to their Uphold account within thirty (30) days. Uphold reserves the right to require proof of age and jurisdiction of residence prior to awarding any prize.

Prizes

A total of eleven (11) prizes will be distributed to eligible users at the end of the Sweepstakes Period: 

• One (1) Grand Prize of US$40,000 of value in the form of CAT  (based on the mid-market rate as published on https://uphold.com/transparency as of November 30th, 2024);
• Ten (10) eligible users will each qualify for a prize of US$1,000 of value in the form of CAT (based on the mid-market rate as published on https://uphold.com/transparency as of November 30th, 2024).
• The prize is non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded. The odds of winning are dependent upon the number of eligible entries received.

Winner Notification and Prize Delivery

The selected entrants will be notified within 24 hours of the draw via email to the primary email address associated with their Uphold account. The selected entrants will be required to acknowledge by email receipt of notification of eligibility for prize and confirmation of acceptance of these Terms and Conditions. If no response is obtained within 10 days of notification, the prize will be forfeited and may be awarded to an alternate winner in a random draw selected by computer from the remaining eligible entries. The prize will be delivered to the winner’s account on the Uphold platform into their CAT sub-account within thirty (30) days of receipt of acknowledgement from the winner.

General

The winner is responsible for any costs associated with claiming any prize. The winner is solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in these Sweepstakes.

Prizes must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Uphold is not responsible for technical or computer errors, or for late, lost, illegible, damaged, postage due, misdirected, misidentified or incomplete survey. Entries in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any entry that does not comply with these Sweepstakes Terms and Conditions in any respect.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Sweepstakes. Uphold reserves the right at any time to withdraw this Sweepstakes or to modify, amend, or supplement these rules, in its sole discretion.

By participating in these Sweepstakes, winners consent to the use by Uphold of their first name and last initial and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us here. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The winner agrees to abide by and be bound by these Terms and Conditions, and understands that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Sweepstakes, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Sweepstakes as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.

This Sweepstakes is subject to all Federal, State and local laws. Void where prohibited or restricted by law.
